Agreement to Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Client”), and Loan-Ready Plans (“we,” “us,” or “our”), concerning your access to and use of the www.loanreadyplans.ca website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

We prepare professional business plans for Clients seeking financing from Canadian banks and other financial lenders. By accessing the Site, using our services, or engaging us for a project, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

 

Services

Loan-Ready Plans, an operating name of Orsay Marketing Inc., provides professional business plan writing and consulting services designed to meet the requirements of Canadian financial institutions.

  • Client Responsibility: You acknowledge and agree that the timeliness and accuracy of the information you provide is critical to the quality of the final product. Delays caused by the late submission of necessary data, or errors resulting from inaccurate data provided by you, are your sole responsibility.
  • No Guarantee of Financing: Loan-Ready Plans does not provide, broker, or guarantee financing, loans, or funding of any kind. We provide a document—the business plan—and consulting services. The decision to grant a loan rests solely with the financial institution and is subject to their independent assessment of the borrower, the plan, and prevailing market conditions. Any projections or financial forecasts in the plan are based on assumptions and should not be considered a guarantee of future performance.

 

Fees, Payment, and Refunds

 

Fees and Payment

Fees for our services are outlined in a separate, written Service Agreement or Engagement Letter provided to you before the commencement of work. You agree to pay all fees for services and products you purchase. Payment terms (e.g., initial deposit, milestones, final payment) will be specified in the Service Agreement.

 

Refunds and Cancellation

All sales of our services are considered final upon commencement of work (typically following receipt of an initial deposit). Because of the custom, highly specialized, and time-intensive nature of business plan preparation:

 

  • Initial Deposits are Non-Refundable.
  • In the event a Client chooses to cancel a project after work has begun but before completion, any refund consideration will be determined at our sole discretion and will be calculated based on the percentage of work completed and time spent up to the date of written cancellation notice, less the non-refundable deposit.
  • If Loan-Ready Plans is unable to complete the service due to a material breach of the Service Agreement by the Client (e.g., failure to provide necessary information within a reasonable timeframe), the Client forfeits all payments made to date.

 

Intellectual Property

 

Ownership

Upon full and final payment for the services, all intellectual property rights in the final business plan document (excluding our internal templates, proprietary methodologies, and background knowledge) will transfer to you, the Client.

 

Our Rights

You acknowledge and agree that Loan-Ready Plans retains all intellectual property rights in any underlying tools, methodologies, templates, drafts, or proprietary concepts used to create the deliverables. We reserve the right to use our general knowledge, experience, and know-how gained during the project for other clients, provided that we do not disclose your confidential information.

 

Confidentiality

We agree to maintain the confidentiality of all proprietary and non-public information concerning your business (“Confidential Information”) that you provide to us, except as required by law or as necessary to perform the services. You acknowledge that you are providing us with information and data for the sole purpose of creating your business plan.

 

Disclaimers and Limitation of Liability

 

Disclaimers

The Site and our services are provided on an “as-is” and “as-available” basis. You agree that your use of the Site and our services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event will Loan-Ready Plans, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the services during the six (6) month period prior to any cause of action arising.

 

Governing Law

These Terms of Service and your use of the Site and our services are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
